BIOGRAPHY

Rylin graduated from University of Reading with LLB (Hons) in 2016 and completed the Bar Professional Training Course in 2017. Thereafter, she commenced her pupillage in an established and leading corporate law firm in Malaysia and was subsequently admitted to practice as an Advocate and Solicitor of the High Court of Malaya in January 2019.

Rylin’s practice focuses on mergers and acquisitions, joint ventures, capital markets, corporate advisory and other areas of corporate and commercial law. She has experience acting for foreign and domestic investors, on high value and complex transactions in a myriad of industries, ranging from mining, manufacturing to food product distribution. She is also well verse in drafting commercial contracts/agreements and has advised on other corporate issues such as regulatory, licensing and compliance issues.

  • A group of companies engaged in the construction industry for the listing on the Main Board of the Stock Exchange of Hong Kong Limited;
  • A group of companies engaged in the mining industry for the listing on the Catalist of the Singapore Exchange Securities Trading Limited;
  • A group of companies engaged in the manufacturing of furniture for the listing on the Catalist of the Singapore Exchange Securities Trading Limited;
  • A group of companies engaged in the property development business for its privatisation by way of selective capital reduction;
  • An investment holding company listed on the Main Market of Bursa Securities for its issuance of rights shares together with warrants and bonus issue of shares.
Recent Corporate M&A / Joint Venture experiences include advising:
  • Joint offerors for unconditional mandatory general offer to acquire the remaining ordinary shares of a company listed on the Main Market of Bursa Securities not already owned by the joint offerors;
  • Malaysian individuals for the disposal of their entire equity interest in a company to an industrial products and services company listed on the Main Market of Bursa Securities;
  • A group of controlling shareholders for the disposal of their equity interest in a manufacturing company listed on the Main Market of Bursa Securities to a manufacturing company listed on the Main Market of Bursa Securities through direct business transaction;
  • A Malaysian individual in a joint venture with a Myanmar shareholder to form a Myanmar local company;
  • A company in Singapore in a joint venture to form a 100% foreign owned service company in Myanmar.
Recent Fintech, Technology and Blockchain Advisory experiences include advising:
  • Several wholly-owned subsidiaries of public listed companies and non-public listed companies for their application to the Securities Commission Malaysia in respect of the registration as an initial exchange offering (IEO) operator in Malaysia pursuant to the Guidelines on Digital Assets; and
  • A fully-licensed Stock Exchange in Labuan, Malaysia which focused solely on digital assets, on its security token offering (STO) and all legal and regulatory issues relating to the operation of the exchange and related businesses.
