BIOGRAPHY

Annie graduated from the University of Leeds with an LL.B (Hons) in 2020 and was admitted to the Bar of England and Wales (Middle Temple) in 2022 after completing the Barrister Training Course at BPP University (Manchester).

 

Before joining Messrs. Gan, Lee & Tan, Annie completed her pupillage at one of Malaysia’s leading law firms. She was admitted as an Advocate & Solicitor of the High Court of Malaya in 2023 and subsequently practised in the mergers and acquisitions department.

 

Annie’s practice focuses on corporate and commercial matters, with experience in high value and complex mergers and acquisitions, corporate governance, general corporate advisory work, and private equity fund investment mandates. Her portfolio includes advising on cross-border transactions, corporate structuring, investment documentation, and regulatory compliance. She has also undertaken legal due diligence exercises, drafted and reviewed a wide range of transactional agreements, and provided strategic legal advice to both local and international clients.

  • Acted for a leading multinational oil and gas company in a joint venture with a foreign-owned electric vehicle tech mobility company by drafting transactional documents and conducting a due diligence exercise.
 
  • Assisted in reviewing transactional documents for the RM230 million share sale of a special purpose vehicle by a wholly owned subsidiary of a Malaysian industrial conglomerate to a leading Japanese industrial corporation as part of a strategic collaboration.
 
  • Acted for a Malaysian listed company in drafting transactional documents and conducting legal due diligence for its subsidiary’s proposed acquisition of shares in two concession companies.
 
  • Assisted in legal due diligence for a proposed acquisition of a leading coastal shipping company in Malaysia and its twenty-two subsidiaries by a Malaysian marine and logistics service company.
 
  • Acted for a leading Malaysian new energy company in conducting legal due diligence for its proposed RM80 million equity subscription investment in a Malaysian solar company jointly owned by Spanish stakeholders.
 
  • Assisted in a legal due diligence for a proposed acquisition of shares in a Fintech solution company specializing in digital payment technology.
 
  • Acted for a government-backed private equity and venture capital firm and a leading national development financial institution in drafting investment agreements for a parallel fund structure.
 
  • Acted for a government-linked corporate organization and its group of companies in drafting an investment policy and standard operating procedures.
 
  • Advised a multinational automotive company on connected vehicle services in Malaysia and coordinated with foreign counsel in Thailand and the Philippines for cross-border compliance.
 
  • Acted for a government-linked investment company in preparing a legal opinion on the proposed voluntary dissolution of its fund company and Labuan-incorporated fund manager.
